License agreement

End-User License Agreement

This End-User License Agreement ("Agreement") is a legal contract between you ("User") and Engage Evolution LLC ("Company," "we," or "us") governing your use of our software applications, integrations, and connected services (collectively, the "Application").

1. Acceptance of terms

By accessing or using the Application you agree to be bound by this Agreement. If you do not agree, do not use the Application. We may update these terms at any time; continued use after changes constitutes acceptance.

2. License grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely for your internal business purposes in accordance with this Agreement and any applicable documentation.

3. Restrictions

You agree not to:

  • Copy, modify, distribute, sell, or lease any part of the Application.
  • Reverse-engineer, decompile, or disassemble the Application except where permitted by law.
  • Use the Application to violate any applicable law or regulation.
  • Remove or alter any proprietary notices, labels, or marks.
  • Use the Application to transmit malicious code or interfere with other users.

4. Third-party services

The Application may connect to third-party platforms (e.g., Intuit QuickBooks, Salesforce, marketing automation tools). Your use of those services is governed by their respective terms. We are not responsible for third-party service availability, accuracy, or policies.

5. Data handling

Our collection and use of personal and business data is described in our Privacy Policy. By using the Application you consent to the data practices described therein. We do not sell your data to third parties.

6. Intellectual property

The Application and all related content, features, and technology are owned by Engage Evolution LLC and protected by intellectual property laws. This Agreement does not transfer any ownership rights to you.

7. Disclaimer of warranties

The Application is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Application will be uninterrupted, error-free, or secure.

8. Limitation of liability

To the maximum extent permitted by law, Engage Evolution LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of or inability to use the Application.

9. Termination

We may suspend or terminate your access to the Application at any time, with or without cause or notice. Upon termination, your license to use the Application ceases immediately. Sections 6 through 8 survive termination.

10. Governing law

This Agreement is governed by the laws of the State of Kansas, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Johnson County, Kansas.
